合意管轄（Jurisdiction）
Any action between the parties regarding this Agreement shall take place inTokyo District Court.
訳：当事者間における本契約に関する手続きは、東京地方裁判所において行われるものとする。
合意裁判管轄を定めるもので、venue条項とも言われます。国際契約書においては、準拠法と合意裁判管轄は必須ですが、相手方との関係もあるので、一方的に準拠法と裁判管轄を決める訳には行きません。どちらも自国の法律を準拠法、自国の裁判所を裁判管轄にしたいと思われますが、妥協策として第三国の法律を準拠法、合意管轄にすることもよくあります。このような場合には、事前に法律調査などが必要になりますが、特に注意が必要な場合として、
「契約当事者の一方の国の法律を準拠法にし、相手方の国を裁判管轄とする場合」
「契約当事者以外の国の法律を準拠法とし、契約当事者以外の国を裁判管轄にする場合」
これらのケースでは判決後の執行方法についても調査が必要になります。
提訴する前に調停を行う場合
In the event of any dispute or controversy any of the Parties hereto to this Agreement arise, the Parties shall make best efforts to resolve the dispute in a fair and reasonable manner.
One senior management member of all the Parties shall first attempt to resolve such dispute or controversy.
If the Parties’ senior management members are unable to resolve such dispute or controversy within ninety(90)days after the complaining Party’s written notice to the other Parties of such dispute or controversy, the Parties shall further seek to resolve the dispute or controversy pursuant to mediation conducted in Nagoya Summary Court.
Each Party shall bear its own expenses in connection with the mediation.
If the Parties are unable to resolve the dispute or controversy within ninety(90)days after commencing mediation,any of the Parties may commence litigation in the Nagoya District Court as the exclusive court of competent jurisdiction for the first trial.
訳：本契約の当事者のいずれかにおける紛争あるいは論争が生じた場合、当事者は当該紛争を公平で合理的な方法で解決するための最大限の努力を行うよう、すべての当事者の経営幹部１名は紛争あるいは論争を最初に解決するよう努力する。訴えた当事者から他の当事者に対する紛争あるいは論争についての書面通知から９０日以内に紛争あるいは論争を解決できない場合、名古屋の簡易裁判所で当事者は、さらにこの紛争あるいは論争を調停において解決するように手続きを行う。それぞれの当事者は、調停費用を負担する。当事者が紛争あるいは論争を調停開始から９０日以内に解決できない場合、当事者は名古屋地方裁判所において、第一審の専属的簡易裁判所として訴訟を提起できる。
出訴制限に１年間の期間を設ける条項
Any litigation arising out of any dispute or controversy among the parties to this Agreement shall be brought within one(1) year from the first date such action could have been brought.
訳：本契約についての当事者間の紛争あるいは論争は、当該手続きが提訴できる日から１年以内に提起されなければならない。
