不可抗力条項（Force Majeure）
If the performance of any part of this Agreement is interfered by riots,epidemic,labor trouble,strike,governmental order,war,act of God,flood,earthquake or other similar incidents which are beyond the control of the parties hereto,neither party shall be liable for delay or failure of this Agreement for such length of time.
If such delay continues for a period of three (3) months,either party hereto may terminate this Agreement by giving a written notice to the other party.
訳：本契約のいかなる部分の履行について、暴動、疫病（伝染病）、労働争議、ストライキ、政府命令、戦争、天災、水害、地震または当事者の制御できない同様の出来事によって妨害された場合、いずれの当事者もその期間本契約の遅延または不履行の責任を負わない。当該遅延が３ヶ月を越える場合、いずれの当事者も本契約を相手方に書面による通知を行うことで解除することができる。
悪天候やストライキなどは不可抗力には当てはまりませんが、相手方のことも考え、入れておくとよい場合もあります。また、通信障害（長期停電や長期通信回線切断）などを含めることも取引に応じて検討するとよいでしょう。
不可抗力が金銭債務に適用されないことを定めた条文
Neither party shall be liable for any delay or failure to meet its obligations under this Agreement due to circumstances beyond its reasonable control,including but not limited to war,riot,fire,flood,earthquake,storm,lock outs,or labor strikes.
Notwithstanding,this provision shall not be construed to relieve Buyer of its obligations to make payments to Seller pursuant to this Agreement.
訳：いずれの当事者も、これらに限るものではないが、戦争、暴動、火事、洪水、地震、暴風雨、工場閉鎖または労働争議といった合理的な支配を超える状況による本契約の遅延や債務不履行については責任はないものとする。上記に関わらず、本規定は買主が本契約に基づいて、売主に対して支払を負う義務を免除するものではない。
